Terms of service

General

These terms apply to the AI Tender Watch service provided by Minoseg Design OÜ (registry code 12521520, email tugi@aihankejalgija.ee), referred to below as the provider. The company using the service is referred to as the client. The service is meant for clients acting in the course of business, not for private consumers.

You accept these terms by ticking the box on the sign-up form. By accepting these terms the client confirms that the contract is concluded in the course of its business. From that moment the agreement is concluded and binding on both parties. No separate paper contract is signed, but the client may request one.

What the service includes

The provider monitors public and private sector tender notices according to the profile set by the client, and sends a briefing of the matching ones every working morning. If there are no new matching notices, no email is sent.

The monitored sources are the Estonian procurement register, the tender pages of Estonian municipalities, housing association and private sector tender platforms, the portals of state and municipally owned companies, and international tender notices. The list of sources may change because the sources themselves change. The provider adds new sources at the client's reasonable request where possible.

The service includes a client area where the client can change their monitoring profile at any time. Changes take effect when the next morning briefing is compiled.

The service does not include writing bids, legal analysis of tender documents, representing the client in a procurement procedure or drafting appeals.

Free trial period

A new client gets a free trial of fourteen (14) calendar days starting from sign up. No invoice is issued for the trial period.

If the client does not cancel during the trial, the subscription continues as a paid one and the provider issues an invoice seven (7) days before the trial ends, so that the due date falls on the start of the paid period. The client receives a reminder at least three (3) days before the invoice is issued.

If the subscription is cancelled during the trial, no invoice is issued and nothing is payable.

Price and payment

The price of the service is either fifty-nine (59) euros per month or five hundred and forty-nine (549) euros per year, depending on the option chosen by the client. VAT is added at the applicable rate. The service is identical under both options.

Invoices are sent by email as a PDF seven (7) days before the new billing period starts. The payment term is seven (7) calendar days from the date of the invoice. Payment is made by bank transfer, using the invoice number as the payment reference.

In case of late payment the provider may charge interest of zero point five per cent (0.5%) per day on the outstanding amount and suspend the service once the due date has passed. The service is restored after the debt is paid.

The provider may change the price by giving the client at least thirty (30) days notice. The new price applies from the next billing period. A client who does not accept the new price may cancel before it takes effect.

Term and cancellation

A monthly subscription runs one (1) month at a time and renews automatically unless cancelled. A yearly subscription runs one (1) year at a time and renews on the same basis.

The client can cancel at any time, with one click in the client area or by email. The service continues to the end of the period already paid for and no new invoice is issued. Amounts already paid are not refunded, except where the provider has materially breached the agreement.

The provider may terminate the agreement on thirty (30) days notice, and also where the client materially breaches these terms. In the latter case the client is refunded for the unused part of the paid period.

Obligations of the parties

The provider undertakes to provide the service with due care and reasonable professional skill, to keep the client's data secure, to give advance notice of material changes to the service and to answer the client's queries within thirty (30) days.

The client undertakes to provide accurate and current information, to keep their client area password confidential and to notify the provider immediately if they suspect that someone else has gained access to the account.

The client may not systematically resell, publish or redistribute the aggregated tender information obtained through the service to third parties as a service. Using the information within the client's own company, including sharing it with employees and partners in order to prepare a specific bid, is permitted.

Liability

The service aggregates information from public and third party sources. The provider makes reasonable efforts to ensure the information is accurate and complete but does not guarantee that every tender of interest will reach the client. Sources may be temporarily unavailable, publish information late or change their structure.

The original source always prevails as to the content, deadlines and conditions of a tender notice. The client must verify the details against the original source before submitting a bid. The provider is not liable if the client misses a tender, submits a bid late, or makes a decision based on information received through the service without verifying it against the original source.

The provider's liability is in any event limited to the amount paid by the client for the service during the six (6) months preceding the event giving rise to liability. The provider is not liable for lost profit or indirect damage.

No limitation in this section applies to damage caused intentionally or through gross negligence.

Use of artificial intelligence

The service uses artificial intelligence to assess the substance of tenders and to interpret the conditions described by the client. The AI makes a preselection and explains, next to each tender sent, why it reached the client. The decision whether to bid is always the client's.

The AI may err, both by leaving out a suitable tender and by including an unsuitable one. The client can report this to the provider and the configuration is refined.

Data entered by the client is not used to train AI models.

Changes to these terms

The provider may amend these terms. The client is notified of material changes by email at least thirty (30) days in advance. A client who does not accept the changes may cancel before they take effect.

Governing law and disputes

The agreement is governed by the law of the Republic of Estonia. The parties will seek to resolve disputes through negotiation. Failing agreement, disputes are resolved by Harju County Court.
